In conformity with the Transparency Directive's transitional provision 6,
Petrofac Limited is required to notify the market of the following:


Petrofac Limited's issued share capital consists of 345,159,920 ordinary shares
with a nominal value of US$0.025 each, with voting rights. Petrofac Limited does
not hold any ordinary shares in Treasury.


Therefore, the total number of voting rights in Petrofac Limited is 345,159,920.


The above figure of 345,159,920 shares may be used by shareholders as the
denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in, Petrofac
Limited under the Financial Service Authority's Disclosure and Transparency
Rules.
