The Company was notified on 23 February 2007 in accordance with DTR 5 of the
UKLA source book that Petrofac ESOP Trustees Limited ("PETL") has a notifiable
interest on 21 February 2007 in 23,526,398 ordinary shares ("shares") of the
Company, representing approximately 6.81% of the issued share capital of the
Company. All of the shares are held direct and registered in the name of
Pershing Keen Nominees.

PETL holds shares on behalf of current and former employees of the Petrofac
Group. On 21 February 2007, a current employee transferred shares from PETL into
his own name with the result that PETL's holding in Petrofac Limited passed
below 7%. There was no change in beneficial ownership of the shares concerned.

As at 23 February 2007, the Company has 345,434,858 ordinary shares, which is
equal to the same number of voting rights.
