This notification replaces a previous, incorrect notification dated 9 July 2007
made in relation to the Legis Trust as Trustee of the Alima Trust.


The notification made on 9 July 2007 (i) did not reflect a distribution of
7,100,000 shares by the Alima Trust on 17 November 2006 and (ii) included the
holding of an undertaking not subject to the control of Legis Trust Limited as
Trustee of the Alima Trust.


Petrofac Limited currently has 345,434,858 shares in issue and each share has
one vote. The Company has no treasury shares.
