Petrofac Limited (the "Company")

 

Notification of Transactions by

Persons Discharging Managerial Responsibilities (PDMRs)

 

 

Pursuant to the Company's obligations under Disclosure and Transparency Rule 3.1.4, the Company hereby notifies the following:

 

1) Paul Groves, a PDMR, was awarded 22,796 ordinary shares of US$0.025 each in the Company (the "Shares") under the Petrofac Restricted Share Plan (RSP) on 8 March 2010.

 

Subject to a number of limited exceptions, and provided Mr Groves does not leave the Company's employment, the Shares will vest on 24 August 2012, being approximately the third anniversary following his date of joining the Company. The award was made at nil cost.     

 

Following this award, Mr Grove's total holding in the Company amounts to 22,796 Shares, representing 0.006 per cent of the total voting rights of the Company.

 

2) on 9 March 2010 the Company was notified that the individuals listed below had sold Shares in the Company. Details of the individual transactions, which were carried out on the London Stock Exchange, are listed below:
