                              Changes to Committees

Subject to the appointment of Rijnhard van Tets to the Board of Petrofac at the
Company's Annual General Meeting later today, the membership of the Committees
of the Petrofac Board will be as follows:

Audit Committee: Rijnhard van Tets (Chairman); Kjell Almskog; and Michael Press.

Remuneration Committee: Bernard de Combret (Chairman); Michael Press; and
Rijnhard van Tets.

Risk Committee: Kjell Almskog (Chairman); Bernard de Combret; Michael Press; and
Rijnhard van Tets.

Nominations Committee: Rodney Chase (Chairman); Kjell Almskog; Ayman Asfari;
Bernard de Combret; and Michael Press.

Environmental Committee: Rodney Chase (Chairman); Ayman Asfari; Amjad Bseisu;
Robin Pinchbeck; and Maroun Semaan.
