                             Director Shareholding


On 24 June 2004 the Company was notified that 7,500,000 ordinary shares in the
Company were gifted to a trust of which Mr Adonis Pouroulis, Executive Chairman
of the Company, is a beneficiary. The shares were gifted for no consideration
from a non-connected family trust.

Mr. Pouroulis's total beneficial and non-beneficial holding following this
transfer is 7,535,000 shares, representing 11.11% of the issued share capital of
the Company. Mr Pouroulis has no right to any other similar share transfers and
this transaction satisfies any such outstanding share commitments to him.
