At a Board Meeting of the Company held on Wednesday 19
April 2000 1,136,523 Ordinary shares of 10p each were
allotted as a result of shareholders electing to receive
shares in lieu of the final dividend for the year ended
31 December 1999.

These shares rank pari passu with the existing issued
Ordinary shares.

Application for listing of these shares has been made to
the London Stock Exchange.
