Block Listing Application

 

PensionBee Group plc ('PensionBee' or the 'Company'), a leading online pension provider, announces that an application has been made to the Financial Conduct Authority ('FCA') and to the London Stock Exchange plc in respect of a block listing for a total of 5,000,000 Ordinary Shares of £0.001 each in the Company ('New Ordinary Shares') to be admitted to trading on the Premium Segment of the Main Market of the London Stock Exchange.

 

The New Ordinary Shares may be issued from time to time in connection with the exercise of vested options pursuant to the 2021 PensionBee Group plc Omnibus Plan (the 'Omnibus Plan'), an umbrella plan under which two different types of awards can be made: deferred share bonus awards ('DSB Awards') and restricted share plan awards ('RSP Awards').

 

These New Ordinary Shares will be reserved under a block admission to trading and may be issued following exercises of options following Admission in connection with the Omnibus Plan. New Ordinary Shares issued following DSB Award or RSP Award option exercises, and admitted to trading under the block admission, will rank pari passu in all respects with the existing Ordinary Shares.

 

The block listing is expected to become effective on or around 17 February 2023. The Company will make six-monthly announcements of the utilisation of the block admission, in line with its obligations under Listing Rule 3.5 of the FCA Handbook.

 

At the time of this announcement, PensionBee has 222,980,175 Ordinary Shares in issue. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
