Transaction in Own Shares


Pennon Group Plc announces that it has today purchased through Merrill Lynch
International 65,000 ordinary shares at a price of 617.692662 pence per share.



The purchased shares will all be held in treasury.  Following the above purchase
and non-cancellation of such equity shares, Pennon Group Plc will hold 1,634,118
ordinary shares in treasury and a total of 353,530,156 ordinary shares will be
in issue (excluding shares to be held in treasury).
