In conformity with Disclosure and Transparency Rule 5.6.1, Pennon Group Plc
hereby notifies the market that at 30 March 2007 the issued share capital of the
Company is 356,123,879 Ordinary shares of nominal value 40.7p each with voting
rights.  None of these Ordinary shares is held in Treasury.



Therefore, currently the total number of voting rights in Pennon Group Plc is
356,123,879.



The above figure (356,123,879) may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Pennon Group Plc under the
FSA's Disclosure and Transparency Rules.
