HOLDING IN COMPANY



Pennon Group Plc has received notification (by letter dated 31 July 2006) that
of the 4,090,026 Ordinary shares of £1221/10p each held by HSBC Bank plc in
Pennon Group Plc at the close of business on 28 July 2006, 2,020,908 shares were
of a kind described in Section 208(5) of the Companies Act 1985.  HSBC Holdings
plc as HSBC Bank plc's parent company were also interested, by virtue of Section
203 of the Companies Act 1985, in all the abovementioned shares.
