HOLDING IN COMPANY
Pennon Group Plc has received notification (by a letter dated 1 August 2000)
pursuant to Section 198 (as amended), of the Companies Act 1985 that as a result
of the recent merger of CGU plc and Norwich Union plc, CGNU plc holds 9,807,491
Ordinary shares of £1 each in Pennon Group Plc, representing 7.2% of the issued
share capital of the Company.
