DIRECTOR'S SHAREHOLDING (PURSUANT TO DR3.1.4R(1))


Pennon Group Plc announces that it received notification on 8 February 2006
pursuant to DR3.1.2R that pursuant to the rules of the Company's Sharesave
Scheme options over Ordinary shares of 111p each in the Company were exercised
and the shares allotted to a person discharging managerial responsibilities in
the Company on 8 February 2006 in England as follows:

The shares were allotted and issued to Mrs M S Read at the subscription price of
461p per share (being the option price).
