DIRECTORS' SHAREHOLDING (PURSUANT TO DR3.1.4R(1))





Pennon Group Plc announces that it received notification on 5 September 2005
pursuant to DR3.1.2R that pursuant to the rules of the Company's Sharesave
Scheme options over Ordinary shares of 111p each in the Company were exercised
and the shares allotted to persons discharging managerial responsibilities in
the Company on 1 September 2005 in England as follows:

Mr A R Hooper               -          335
Mr R K Randall              -        3,660
Mr D B Robertson            -        3,660





The shares were allotted and issued to Dr S C Bird and Mr A R Hooper at the
subscription price of 566p per share (being the option price) and to Messrs R K
Randall and D B Robertson at the subscription price of 461p per share (being the
option price).
