January 2021 Share subscription - Issue of Equity

London, United Kingdom - Pembridge Resources plc (LSE: PERE) ("Pembridge" or the "Company") announces the issue and the expected admission of 12,000,000 new ordinary shares ("New Ordinary Shares") following the subscription announced on 8 January 2021.

The Company announced on 12 January 2021 that the issuance and application for admission of the unissued 12,000,000 (including the shares being subscribed by the director Gati Al Jebouri) was anticipated on 14 May 2021 with dealings expected to commence on the LSE at 8:00 a.m. on 17 May 2021. 

Application to the LSE

In line with that announcement, an application has been made for 12,000,000 New Ordinary Shares to be admitted to trading on the official list and the London Stock Exchange with effect from 8.00 a.m. on 14 May 2021 ("Admission").

In accordance with the FCA's Disclosure Guidance and Transparency Rules, the Company confirms, that following Admission, the Company's enlarged issued ordinary share capital will comprise 88,965,786 Ordinary Shares. The Company does not hold any Ordinary Shares in Treasury. Therefore, following Admission, the above figure may be used by shareholders in the Company as the denominator for the calculations to determine if they are required to notify their interest in, or a change to their interest in the Company, under the FCA's Disclosure Guidance and Transparency Rules.
