PayPoint plc ("the Company")

The Company is pleased  to announce that its  proposal to cancel  the
entire amount standing  to the credit  of each of  its share  premium
account and capital redemption reserve (the "Cancellations") has been
confirmed by  the High  Court and  registered with  the Registrar  of
Companies. The Cancellations have therefore become effective.
