Revised SPA, Posting of Circular and Notice of GM

Further to the Company's announcements on 22 March 2023 (announcing that the Company had entered into a sale and purchase agreement in respect of the disposal of IM Minerals Ltd ("IMM")) and 12 April 2023 (extending the long stop date), Pathfinder announces that it has signed a revised sale and purchase agreement ("SPA") in respect in respect of the disposal of IMM. The amendment to the SPA does not affect the commercial terms previously announced, but rather relates to an improvement in the structuring mechanics in relation to the potential deferred consideration.

The Company has also published a shareholder circular ("Circular"), together with a notice convening a general meeting ("GM") of the Company (the "Notice"), in order for shareholders to vote on the proposed disposal of IMM.

The Circular/Notice will be posted to shareholders today, and is available on the Company's website at: www.pathfinderminerals.com. A summary of the revised SPA is set out in the Circular.

The GM will be held at 33 St James' Square, London, SW1Y 4JS on 11 May 2023 at 11.00 a.m.
