On 4 July 2005, the Company granted awards under the Parity Group plc Long-Term
Incentive Plan (the 'Plan') over Parity Group plc ordinary shares to Directors
of the Company as follows:

No consideration was paid on the grant of the awards.  The awards will only
become exercisable if the stringent performance targets set at the date of grant
which were described in the recent Notice of AGM are fully satisfied.
