PANTHEON INTERNATIONAL PARTICIPATIONS PLC


The Company announces the following details of share transactions on behalf of
Mr L Stopford Sackville and Mr R Swire who are Directors of the Company:


-            The  notification to the Company on 28 November 2001 of a
purchase by Mrs E M Stopford Sackville on 23 November 2001  of 2,400 ordinary
67p shares at a price of 493p per share.


-            On 19 November 2001 Mr Stopford Sackville  exercised subscription
rights in respect of 2,000 warrants and was allotted on 28 November 2001 1,480
ordinary 67p shares at 250p each and 520 Participating Loan Notes at 250p each.



As a result of these transactions, Mr Stopford Sackville is now interested in
11,280 ordinary 67p shares of the Company, representing 0.05% of the issued
class of capital and 3,120 Participating Loan Notes.



-            On 19 November 2001 Mr Swire, his wife and daughter exercised in
total subscription rights in respect of 10,460 warrants and were allotted on
28 November 2001 7,740 ordinary 67p shares at 250p each and 2,718
Participating Loan Notes at 250p each.



As a result of these transactions, Mr Swire is now interested in 31,376
ordinary 67p shares of the Company, representing 0.15% of the issued class of
capital and 6,566 Participating Loan Notes.
