PANTHEON INTERNATIONAL PARTICIPATIONS PLC

The Company announces that 81 Warrantholders have exercised their right to
convert their Warrants into Ordinary  shares of 67 pence each, for a total of
315,762 Ordinary shares ( the 'New shares'). This increases the number of
Ordinary shares of 67 pence each in issue to 18,031,567.

Application has been made for the New shares to be admitted to the Official 
List of the UK Listing Authority and to trading on the London Stock Exchange's
market for listed securities. Dealings in the New shares are expected to
commence on 8 December 2000.
