Issue of Ordinary Shares




Further to the announcement released on 13th November 2000, OTC is pleased to
announce that the acquisition of Breakaway Travel Club PTY Limited
('Breakaway') in a 50:50 partnership with Concorde International Travel
Limited, was completed following clearance of regulatory approvals in
Australia on 6th December 2000.


As part of the consideration for this acquisition OTC has today issued and
allotted 200,000 Ordinary Shares in OTC to the vendors.  Application has been
made to the London Stock Exchange for the admission of these shares to trading
on the Alternative Investment Market ('AIM') and dealings in these shares are
expected to commence on 14th December 2000.
