Change in Shareholding

The Company was notified that on 4 October 2004, pursuant to his retirement from
the Company and his directorship thereof on 30 September 2004, Peter Meddings
exercised options over 1,200,000 ordinary shares of 0.25 pence each in OMG plc,
under the Company's Oxford Metrics 2000 Enterprise Management Incentives Scheme,
at an exercise price of 2.5975p. His holding, following the exercise of these
options, stands at 2,200,124 ordinary shares, representing approximately 3.9 per
cent. of the issued share capital of OMG plc.

An application has been made for the new ordinary shares to be admitted to AIM,
which is expected to occur on 11 October 2004.
