ON-LINE PLC ('On-line' or the 'Company')

ISSUE OF EQUITY AND WARRANTS

On-line announces the issue of 375,000 ordinary shares (representing 5.06% of
the issued share capital of the Company), fully paid at 15.72p, and 93,750
warrants to subscribe for On-line ordinary shares, at an exercise price of
15.72p over the next three years, to GEM Global Yield Fund Limited, pursuant to
the equity line of credit provided to the Company by GEM Global Yield Fund
Limited and GEM Advisors Inc., details of which were announced on 13th February
2002.

Application has been made for these ordinary shares to be admitted to trading on
the Alternative Investment Market ('AIM').  These shares will rank pari passu
with the existing ordinary shares of the Company and dealings are expected to
commence on  13th August  2003.  No application is being made for the warrants
to be traded on AIM.
