Directors' shareholdings



The Company announces that on 28 January 2005 Michael Hodges, Jonathan Mullins
and Clement Chambers, as part of the rearrangement of their personal pensions
and shareholdings, each sold the number of On-line ordinary shares detailed in
the table below to their own personal SIPPs.



Following the transactions, each of Messrs Hodges, Mullins and Chambers remains
beneficially interested in the same number of On-line ordinary shares as before
the transactions, the total numbers of which are given below.
