ON-LINE PLC (the 'Company')



In accordance with the terms of a trading agreement, the Company has issued
208,625 new ordinary shares of 5p each at 35p per share.  The new ordinary
shares will rank pari passu in all respects with the existing issued ordinary
share capital of the Company.



Application has been made to the London Stock Exchange for these shares to be
admitted to trading on AIM and admission is expected to become effective from
Tuesday 7 May 2002.
