                ANNOUNCEMENT RELATING TO
                   RESULTS OF NEDCOR'S
                     GENERAL MEETING
                            
Nedcor  Limited  ('Nedcor'), the  South  African  banking
group, in which Old Mutual plc ('Old Mutual') has a  53.3
percent holding has today issued a formal announcement of
the  results of a general meeting of Nedcor members  held
on Friday, 19 November 1999.

The  following  amendments were made to the  articles  of
association of Nedcor:

- an increase in the maximum of directors that may be
  appointed to the board of directors of Nedcor;

- a general authority to repurchase up to 10% of the
  issued share capital of Nedcor; and

- a general authority for the issues by Nedcor of
  shares for cash.
