OCTOPUS PROTECTED VCT PLC

VOTING RIGHTS AND CAPITAL
In  conformity   with  the   Transparency  Directive's   transitional
provision 6 we would like to notify the market of the following:

Octopus Protected  VCT  plc's  capital today  consists  of  4,493,011
ordinary shares with a nominal value of 10p each, with voting rights.
Octopus Protected VCT plc does not hold any shares in Treasury.

Therefore, the total number of voting rights in Octopus Protected VCT
plc is 4,493,011.

The  figure  of  4,493,011  may  be  used  by  shareholders  as   the
denominator for the calculations by which they will determine if they
are required  to notify  their  interest in,  or  a change  to  their
interest in, Octopus Protected VCT plc under the FSA's Disclosure and
Transparency Rules.
