TOTAL VOTING RIGHTS

In conformity with the Disclosure and Transparency Rule 5.6, Octopus Second AIM
VCT plc notifies the market of the following:

Octopus Second AIM VCT plc's capital as at 31 January 2011 consists of
36,752,938 Ordinary shares with a nominal value of 0.01p each, with voting
rights.

The company does not hold any shares in Treasury

Therefore, the total number of voting rights in Octopus Second AIM VCT plc is
36,752,938 (the 'Figure').

The figure of 36,752,938 may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Octopus Second AIM VCT plc under
the FSA's Disclosure and Transparency Rules.
