VOTING RIGHTS AND CAPITAL

In  conformity with  the Transparency  Directive's provisions  we would  like to
notify the market of the following:

Octopus  AIM VCT  plc's capital  as at  31 January 2011 consists  of 40,279,433
Ordinary shares with a nominal value of 1p each with voting rights.

Therefore,  the  total  number  of  voting  rights  in  Octopus  AIM  VCT plc is
40,279,433 ('the Figure').

The  figure of 40,279,433 may be used by shareholders as the denominator for the
calculations  by which they will determine if  they are required to notify their
interest  in, or a  change to their  interest in, Octopus  AIM VCT plc under the
FSA's Disclosure and Transparency Rules.
