                       APPOINTMENT OF ALTERNATE DIRECTOR


C. F. Alexander Cooper was appointed as Alternate Director to R. S. L. Pearman
at a meeting of the Board of Directors' held on 23 April 2003.  Mr. Cooper is 60
years old, and has been a partner in Conyers Dill & Pearman since 1972.  He has
been associated with the Ocean Wilsons Holdings Group since 1992, serving on the
Board of its Bermuda subsidiaries.  Mr. Cooper owns 39,500 shares in the Group.
