NWF Group PLC 19 April 2002 NWF GROUP PLC ACQUISITION OF DUKERIES GARDEN CENTRE NWF Group plc announces that on 18th April, 2002, it completed the acquisition of the whole of the share capital of Stention Limited, a private company which trades as Dukeries Garden Centre on a leasehold site located at Welbeck, Worksop, Nottinghamshire. The consideration for the acquisition is £2.5 million consisting of £2,399,977 in cash and the issue of 43,300 new ordinary shares in NWF Group plc at a price of £2.31 per share. A further consideration payment may be payable within two months based on any increase in net assets in a set of accounts made up to the completion date. Of the total consideration, £0.5 million cash is deferred until 1 June 2003 and a further £0.3 million cash is deferred until 1 June 2004. The business being acquired was founded some twenty years ago by the vendors and has been built up into a successful destination garden centre and nursery. NWF Group plc now operates six Country Stores and three Garden Centres. The net assets of Stention Limited as at 31 December 2001 were £641,353 and the profit on ordinary activities before tax for the year to that date was £255,410. Application has been made for the 43,300 new ordinary shares to be admitted to trading on AIM. It is expected that dealings will start on 22nd April, 2002.
