Announcement of envisaged issuance of subordinated notes and cash tender offer of outstanding subordinated notes

 

Pursuant to the Rules of the Ljubljana Stock Exchange and Article 158 of the Market in Financial Instruments Act, relating to the Article 17 of the Regulation (EU) No 596/2014, NLB d.d., Trg republike 2, 1000 Ljubljana announces: NLB d.d. has mandated BNP Paribas, BofA Securities Europe SA, Morgan Stanley Europe SE and UniCredit Bank GmbH together with NLB d.d. as Joint Lead-Managers to organise a series of fixed-income meetings ahead of a potential issuance of NLB d.d. subordinated notes intended for inclusion into Tier 2 capital, with 10-year maturity and callable after 5 years subject to suitable market conditions. The notes will be offered to professional clients outside the United States of America.

 

In addition, NLB d.d. is announcing today based on obtained prior regulatory permission an invitation to the holders of its outstanding EUR 120 million subordinated notes due 2029 (ISIN: XS2080776607) and EUR 120 million subordinated notes due 2030 (ISIN: XS2113139195), to tender their notes for purchase by the issuer pursuant to a Tender Offer Memorandum dated 15 January 2024. BNP Paribas, BofA Securities Europe SA, Morgan Stanley Europe SE, UniCredit Bank GmbH and NLB d.d. are acting as Dealer Managers on the tender offer.
