NORTHERN VENTURE TRUST PLC (the "Company")

CIRCULAR RE:  tender offer

Further to the announcement made on 15 September 2010, the Company announces
that a circular has today been posted to shareholders setting out details of the
tender offer (the "Tender Offer") to purchase in aggregate 10% of the Company's
issued share capital at a price of 78.3p per share, representing a discount of
3% to the audited net asset value as at 30 September 2010 (after deduction of
the proposed final dividend for the year ended 30 September 2010).

The Tender Offer opened on 16 November 2010 and will close at 11.00am on 17
December 2010 and cash arising on the sale of shares in the Tender Offer will be
paid to shareholders by 24 December 2010.
