("NewRiver" or the "Company")

Notification of transactions by persons discharging managerial responsibilities and persons closely associated

The Company has been notified that, on 17^th July 2017, Nick Sewell has exercised 79,040 nil cost share options which were granted under the NewRiver Retail Limited Performance Share Plan 2009.

In order to cover the associated tax liability, 37,280 shares were sold. Nick Sewell has retained the balance of shares, giving him a total shareholding of 191,692 ordinary shares.

In addition, the Company has been notified that, on 18^th July 2017, Nick Sewell has exercised 445,647 share options granted under the NewRiver Retail Limited Unapproved Share Option Plan 2009. The share options were exercised at the following prices:

102,647 @ £2.715

15,000 @ £2.435

328,000 @ £2.350

All of the shares were sold in the market at a price of £3.451 per share. Deductions were made for the cost of exercise and associated tax liabilities.
