Director's Shareholding

The following announcement replaces the Director's Shareholding announcement
released on 13 November 2002 at 1737 under RNS Number: 7732D.

The correct figure for Michel Rapoport's holding of Newmark shares, following
his latest purchase, is 10,555,000, representing 4.60 per cent. of the enlarged
issued share capital of Newmark (assuming full acceptance of  Newmark's all
share offer for Vema N.V).

All other details remain unchanged.  The full amended text appears below.




In accordance with Section 324 of the Companies Act 1985, as amended, the
Company was notified on 13 November 2002 that Michel Rapoport, a Non-Executive
Director, purchased 1,000,000 ordinary shares of 1p each in the capital of the
Company at 1p per share on 11 November 2002. Michel Rapoport is now beneficially
interested in 10,555,000 ordinary shares representing 4.60 per cent. of the
enlarged issued share capital of Newmark (assuming full acceptance of  Newmark's
all share offer for Vema N.V).
