Director's Shareholding


In accordance with Section 324 of the Companies Act 1985, as amended, the
Company has been notified today that on 11 November 2002 Michel Rapoport, a
Non-Executive Director, purchased 1,000,000 ordinary shares of 1p each in the
capital of the Company at 1p per share. Michel Rapoport is now beneficially
interested in 2,605,000 ordinary shares representing 1.14 per cent. of the
enlarged issued share capital of Newmark (assuming full acceptance of  Newmark's
all share offer for Vema N.V).
