Committee changes 17 June 2021

Network International Holdings Plc (LSE: NETW) (the "Company"), the leading enabler of digital commerce across the Middle East and Africa (MEA), is pleased to announce the formation of a Board Risk and Technology Committee, which will be responsible for providing risk management, technology and compliance oversight to the Group's business and advising the Board on the Company's risk appetite, tolerance and strategy. The Committee comprises Diane Radley, Darren Pope and Monique Shivanandan, all existing independent non-executive directors of the Company. Diane Radley has been appointed as Chair of the Risk and Technology Committee.

As a result of the formation of the new Risk and Technology Committee, the existing Audit and Risk Committee has been renamed as Audit Committee, and its Terms of Reference appropriately amended.

Ron Kalifa OBE, Chairman, commented:

"Technology will continue to play a big role in the evolution of payment systems and this committee will align our strategy from Board level to IT technical level whilst appropriately managing risk. It will support the Board in evaluating, monitoring and directing the use of technology in support of our strategic objectives."

The Terms of Reference of the Risk and Technology Committee and the amended Terms of Reference of the Audit Committee will shortly be made available on the Group's website at https://investors.networkinternational.ae/investors/corporate-governance/.
