ADJUSTMENT TO THE ISSUED NUMBER OF SHARE OPTIONS AND
NOTIFICATION OF INTEREST OF DIRECTORS AND CONNECTED PERSONS


Following the issue of shares under the Placing and Open Offer
announced on 19 April 1999 NMT Group PLC is to adjust the number and
exercise price of all outstanding options over shares in the Company.
The Rules of the Executive Share Option Schemes, the Share Save
Scheme, and the terms of the agreements pursuant to which options
were granted prior to the admission of the Company's shares to AIM on
17 April 1997 provide for amendments to be made following such an
issue of shares.  The adjustment has been certified by the Company's
auditors as fair and reasonable, and, in the case of the approved
Executive Share Option Scheme and the Share Save Scheme, has been
approved by the Inland Revenue.

The adjustment was effected on Tuesday 3 August 1999 by way of the
increase in the number of options by 125.5% and a decrease in the
exercise price of 20.4%.  This adjustment will result in the 67
option holders having options outstanding to acquire 5,201,393 shares
at exercise prices of between 7.9p and 101.1p per share.

The adjustment affects the number and exercise price of share options
in which the directors of the Company are interested.  Following the
adjustment, the options held by the directors (all over ordinary 5p
shares) are as set out below:-

PF = Options granted before admission to AIM on 17 April 1997
A = Approved Executive Share Option Scheme
U = Unapproved Executive Share Option Scheme
