Sale by employee trust
The Company announces that, as a result of the exercise of LTIP awards by
someone who is neither a director of the Company nor a person discharging
managerial responsibility ("PDMR"), the number of Ordinary Shares of 10p each in
the Company ("Shares") held by Northumbrian Water Share Scheme Trustees Limited
("the Trust") was reduced on 14 February 2006 by 29,628 shares.
Following this reduction, the Trust has a holding of 976,668 Shares,
representing 0.19% of the Company's issued share capital.
The Trust holds these Shares in order to satisfy awards made under the Company's
LTIP, and so John Cuthbert and Chris Green, as executive directors of the
Company, and Ceri Jones and Graham Neave, as PDMRs of the Company, are potential
beneficiaries of some of these Shares held in the Trust.
