Notifiable Interest in Shares

The Royal Bank of Scotland Group plc (the 'Group') has received notification
that, following the merger of CGU plc and Norwich Union plc, CGNU plc, and
certain of its subsidiaries, has an interest in 91,494,387 of the Group's
Ordinary Shares of 25 pence representing 3.4 per cent of shares in this class.
