Notification of transactions of directors/PDMR and connected person

The Issuer announces that today, 23 February 2010:

(1)      Sir Derek Wanless has purchased 35,000 ordinary 10p shares at £2.7433 per share, representing 0.007% of the Issuer's issued share capital. These shares have been registered in the name of TD Waterhouse Nominees (Europe) Limited. Sir Derek's holding in the Issuer now totals 65,000 shares, representing 0.013% of the Issuer's issued share capital.

(2)      Alex Scott-Barrett has purchased 10,000 ordinary 10p shares at £2.716 per share, representing 0.002% of the Issuer's issued share capital. Mr Scott-Barrett's holding in the Issuer now totals 20,000 shares, representing 0.004% of the Issuer's issued share capital.

(3)       Northumbrian Water Share Scheme Trustees Limited, the trustee of the Issuer's Long Term Incentive Plan (the "Plan"), has transferred 10,772 ordinary 10 pence shares to Graham Neave (a person discharging managerial responsibility) at nil cost, pursuant to the rules of the Plan. The transfer of shares is pursuant to a conditional award of shares made on 21 December 2006.

The shares transferred to Mr Neave represent 0.002% of the Issuer's issued share capital and, of these, 4,437 shares (0.0009%) have been sold at £2.7106 per share to meet tax liabilities and 6,335 shares have been transferred to Mrs Sylvia Neave. Mr Neave's holding in the Issuer now totals 40,234 shares, representing 0.008% of the Issuer's issued share capital.

This notification is made in accordance with DTR 3.1.2R.
