Nationwide Building Society Announces Results of its Tender Offer For Certain of its Dollar-Denominated Notes

Nationwide Building Society (the "Society") announces today results of its offer to purchase (the "Offer") any and all of the outstanding notes listed in the table below (collectively, the "Notes") as further described in the Offer to Purchase, dated February 28, 2018 (the "Offer to Purchase"). Capitalised terms used in this announcement but not defined have the meaning given to them in the Offer to Purchase.

The Offer expired at 5.00p.m. (Eastern time) on March 7, 2018.

According to information provided by the Tender Agent, US$2,039,764,000 aggregate principal amount of the Notes were validly tendered at or prior to the Expiration Date and not validly withdrawn. As at the Expiration Date, no Notices of Guaranteed Delivery have been received.

The following table sets forth the aggregate principal amount of Notes validly tendered and not withdrawn in the Offer:

All such Notes have been accepted for purchase.  The "Settlement Date" for the Offer is expected to be March 12, 2018.
