Results of AGM and Board changes

The results of the voting at Nationwide Building Society's Annual General Meeting (AGM) held online today, Wednesday 19 July 2023, are detailed below.

Ordinary Resolutions:

 

1. To receive the Directors' Report, the Annual Accounts, the Annual Business Statement and the Auditors' Report for the financial year ended 4 April 2023
For: 528,734 (99.09 %) Against: 4,860 (0.91%) Votes withheld*: 3,587


2. To approve the Directors' Remuneration Report for the financial year ended 4 April 2023

For: 503,024 (95.07 %) Against: 26,079 (4.93 %) Votes withheld*: 8,081

 

3. To re-appoint Ernst & Young LLP as Auditors until the end of the next AGM

For: 516,575 (97.39 %) Against: 13,844 (2.61 %) Votes withheld*: 6,770

Accordingly, all of the Directors standing for election or re-election were elected or re-elected.

 *A 'Vote Withheld' is not a vote in law and will not be and has not been counted in the calculation of the proportion of votes 'For' and 'Against' the resolutions or candidates in the election or re-election of Directors.

Kevin Parry, Society Chairman, said:

"The AGM is our members' opportunity to have their say on the way the Society is run and to vote on the people standing for election or re-election to the Society's Board. This year, the Society held its first fully online AGM with members able to participate online, including voting and asking questions by video or text in real time. Members were also able to submit questions in advance of the meeting by email and post. The Board values the opportunity to engage with members and the AGM, together with our hybrid, in person and online Member Talkbacks achieves this objective over the course of the year.

 

"The AGM remains an important day in our calendar. Nationwide has continued to demonstrate its focus on its customers, whilst protecting its financial strength. We faced into various challenges over the last year including cost of living pressures, rising Bank base rate and inflation, and economic instability and the Board has acted with due care to ensure our long-term success. The Board has approved a new strategy and purpose which enables us to become a truly modern mutual and we continue to be a well-trusted brand on the UK high street. Our Society remains strongly positioned for the future".

Board changes

We are announcing the following principal Board changes that are effective today:

·    Mai Fyfield retires from the Board after serving an eight-year term;

·    Gunn Waersted retires from the Board after serving a six-year term; and

·    Tracey Graham is appointed Senior Independent Director.
