B CAPITALISATION ISSUE

The Directors recommend that 'B' ordinary shareholders receive a
capitalisation issue in 'B' ordinary shares on 22 May 2000 amounting to 2.5854
for every hundred held at the close of business on 25 April 2000, which is
equivalent in net asset value to the final dividend for the year ended 31
December 1999 and interim dividends for the year ending 31 December 2000,
excluding tax credits, already declared on 10 February 2000.   

Definitive certificates in respect of the capitalisation issue will be posted
on 22 May 2000.  Application will be made to the Stock Exchange for the
listing of 36,176 B ordinary shares of 25p each to be admitted to the Official
List.  Dealings are expected to commence on 24 May 2000.
