Application has been made to the London Stock Exchange Plc and the UK Listing
 Authority for a total of 66,036 Ordinary shares of 25p each ('shares') to be
admitted to the Official List. It is expected that permission to admit the new
shares will be granted on 10 July 2001 and that dealings will commence 11 July
2001.

These shares are being issued as a result of conversion of 66,036 'B' Ordinary
shares of 25p each into 66,036 Ordinary shares of 25p each and cancellation of
listing in respect of 66,036 B ordinary shares

The converted shares do not rank for the Interim Dividends payable on 17
August 2001, 16 November 2001 and 18 February 2001. The first dividend to
which they will be entitled will be the final dividend in respect of the year
ending 31 December 2001.
