Result of General Meeting

The Board of Murray Income Trust PLC (the "Company") is pleased to announce that the resolution relating to the issue of New Shares in connection with the reconstruction of Perpetual Income & Growth Investment Trust PLC ("PLI") (the "Scheme") and the resolution to amend the Company's Articles of Association to allow the Company to pay dividends from the Company's capital profits were duly passed by shareholders at today's General Meeting.

The Scheme remains conditional, amongst other things, upon:

a)  the passing of the resolution to be proposed at the First General Meeting of PLI being held today;

b)  the passing of the resolution to be proposed at the Second General Meeting of PLI;

c)  the approval for the Admission of the New Shares to the Official List with a Premium Listing; and

d)  the PLI Directors not having exercised their right not to proceed with the Scheme if, within seven days after the passing of the resolution at the First General Meeting of PLI, Shareholders of PLI validly exercise their rights under section 111(2) of the Insolvency Act 1986 in respect of more than 10 per cent. in nominal value of the issued share capital of PLI.

Capitalised terms used but not defined in this announcement will have the same meaning as set out in the Company's Circular dated 12 October 2020 unless the context otherwise requires.
