                      EXTRAORDINARY GENERAL MEETING

At the Extraordinary General Meeting of Molins PLC held on 27 October 2000,
shareholders approved the resolution giving the company authority to make
further market purchases of up to 3,787,842 ordinary shares (representing
approximately 15% of the Company's issued ordinary share capital at the date
of the notice convening the meeting).
