MOTHERCARE PLC: CHANGE IN SHAREHOLDING

Mothercare plc announces that it has been advised by Aviva plc that Morley Fund
Management Limited (a subsidiary of Aviva plc) has decreased their interest in
the ordinary share capital of Mothercare plc.

Morley Fund Management Limited's interest is now 4,296,889 shares or 5.99%
(previously 4,662,650 shares or 6.51%) of Mothercare's issued capital as
detailed below.
