Re : Mothercare plc


We write to inform you that the Trustees of the Mothercare Employee Trust
yesterday acquired 349,000 Mothercare Ordinary Shares at a price of £3.380408
per share.


The shares are to be utilised by the Trust for equity incentives throughout the
Mothercare business. The executive directors (and other persons discharging
management responsibilities) of Mothercare plc are deemed to be interested in
all of the shares held by the Trust which now amount to 3,631,004 shares or 5.0%
of the issued share capital.


Mothercare plc's issued share capital is 72,637,911 ordinary 50p shares.
