MOTHERCARE PLC: CHANGE IN SHAREHOLDING

Mothercare plc announces that it has been advised by Aviva plc that Morley Fund
Management Limited (a subsidiary of Aviva plc) of a decrease in their
non-material interests of 221,318 to 1,476,945 ordinary shares or 2.06% of the
share capital of Mothercare plc.

Morley Fund Management Limited's material interest remains 5,587,150 shares or
7.80% of Mothercare's issued capital as detailed below.
